 Vonage Amends Investors' Rights Agreement to Eliminate the Registration of Certain Shares by November 20

Vonage Press ReleasesHOLMDEL, N.J., Nov 14, 2006 /PRNewswire-FirstCall via COMTEX News Network/ -- Vonage Holdings Corp. (NYSE: VG) today announced that it has secured signatures to amend the mandatory registration provisions set forth in the most recent Investors' Rights Agreement between Vonage and certain of its stockholders. The stockholders that consented to the amendment hold approximately 115 million outstanding shares covered by the agreement.

The amendment eliminates the requirement that the Company have a registration statement covering certain shares of common stock declared effective by November 20, 2006. Under the amendment, upon the request of the holders of at least 33-1/3% of the Company's common stock issued upon conversion of its formerly outstanding series E convertible preferred stock, the Company would be required to file as promptly as practicable a registration statement on Form S-1.

Vonage Press ReleasesMore than two thirds of Canadians believe bundled service offerings benefit the service provider more than the consumer, according to a Vonage Canada national survey, with fifty per cent willing to de-bundle their home phone service

MISSISSAUGA, ON, November 8, 2006 - When it comes to bundled service packages combining Internet, home phone, mobile and cable services, most Canadians believe that traditional phone and cable companies are the ones reaping the benefits. A national survey commissioned by Internet phone company Vonage Canada, revealed that 68 per cent of Canadians think bundled packages benefit the service provider more than the consumer.

The survey, conducted by Decima research, also revealed that 66 per cent of Canadians believe they have to pay for more services than they want or need just to receive a package discount. When asked what Canadians disliked most about bundled telecommunications packages, nearly one in four Canadians said bundles don't meet their needs, while the same amount dislike long-term contracts. Additionally, of those surveyed, half said they would consider de-bundling their home phone service from their current communication provider to benefit more from lower prices and more features.
