London, 30 August, 2006 – Vonage, the pioneering Internet telephone company, today announced that it has entered into an agreement with DSG international plc, Europe’s leading specialist electrical retailer, under which Vonage VoIP telephony products will be stocked in DSG stores and Vonage will acquire Freetalk’s VoIP customer base.

Under the agreement Freetalk customers will be able to transfer their service and phone number to Vonage and benefit from Vonage’s innovative features and services and competitive rates. In addition, the Vonage service will be made available in DSG stores from 1 October 2006 with an initial roll out in PC World stores.

Over the past three months, Vonage has equipped more than 500 locally-run emergency call centers across the U.S. with E911 -- bringing the total number of calling centers with emergency 911 service to over 5400. 

In June, the FCC gave Vonage, and all Internet-based phone service companies, 120 days to create an E911 system from scratch, and provide all of its customers, wherever they are in the U.S., with E911 service. In that amount of time, Vonage worked closely with local 911 centers, also known as Public Safety Answering Points (PSAPs), across the country to turn on E911 for as many customers as it could.  Vonage Files S-1 to Register Shares Underlying Its Convertible Notes

Vonage Press ReleasesHOLMDEL, N.J., Aug. 21 /PRNewswire-FirstCall/ -- Today, Vonage Holdings Corp. (the "Company") filed a "shelf" registration statement on Form S-1 pursuant to the registration rights agreement entered into in connection with its convertible bond offering. This agreement was originally described in the Company's initial public offering final prospectus on page 128.

According to the terms of the registration rights agreement, note holders may convert their bonds into shares of the Company's common stock at a conversion price of $14.22. The note holders are subject to a lockup period that expires on or about November 19, 2006. 

The Company also announced that Hugh Panero, Chief Executive Officer of XM Satellite Radio has resigned from the Vonage Board, effective August 18, 2006, citing the demands of his role at XM for his decision. "Hugh will be missed on the Board, we wish him well and we thank him for his contributions," said Jeffrey Citron, Chairman and Chief Strategist, Vonage Holdings Corp. At this time, the Vonage Board has no plans to fill Mr. Panero's Board seat.

HOLMDEL, N.J., Aug. 1 /CNW/ -- Vonage Holdings Corp. today announced results for the quarter ended June 30, 2006. Revenue for the second quarter was a record $143 million, up 141% from $59 million in the year-ago quarter. Net loss for the quarter was $74 million, down 14% from $85 million in the prior quarter. Adjusted loss from operations(1) for the quarter was $60 million, down 18% from $73 million in the prior quarter.

Vonage added 1,005,000 net subscriber lines during the twelve months ended June 30, 2006, including approximately 256,000 during the second quarter, the second highest level of net additions in the Company's history. Vonage ended the second quarter with over 1,853,000 total subscriber lines, an increase of 16% from the prior quarter and 119% above the year-ago level. 

Mike Snyder, Vonage CEO, said, "This quarter represents an important milestone for Vonage, as we begin to report our results as a newly public company. We also see this quarter as a key inflection point on our path to profitability. Adjusted loss from operations(1) declined by 18% from the prior quarter even as we continued to make meaningful investments in marketing to achieve continued growth. Total revenue more than doubled from the second quarter of 2005, primarily driven by growth in total subscriber lines and an increase in average revenue per line. At the same time, the direct costs of operating our business -- direct cost of telephony services and cost of goods sold -- remain well in control and in fact, continue to drive scale benefits as we leverage our cost base."
