 Vonage Amends Investors' Rights Agreement to Eliminate the Registration of Certain Shares by November 20

Vonage Press ReleasesHOLMDEL, N.J., Nov 14, 2006 /PRNewswire-FirstCall via COMTEX News Network/ -- Vonage Holdings Corp. (NYSE: VG) today announced that it has secured signatures to amend the mandatory registration provisions set forth in the most recent Investors' Rights Agreement between Vonage and certain of its stockholders. The stockholders that consented to the amendment hold approximately 115 million outstanding shares covered by the agreement.

The amendment eliminates the requirement that the Company have a registration statement covering certain shares of common stock declared effective by November 20, 2006. Under the amendment, upon the request of the holders of at least 33-1/3% of the Company's common stock issued upon conversion of its formerly outstanding series E convertible preferred stock, the Company would be required to file as promptly as practicable a registration statement on Form S-1.

And as speaking as someone who is just getting back to work, sometimes the coding part of this gig isn't what you would call great fun, but it is a great feeling when I am back here and can interact with all you more than 35,000 Vonage Forum Members.

In the news, we will catch up on Vonage's new in-store activation program. We'll also find out about new Vonage local number availabilities in many new places in Maryland, New Jersey, and Connecticut. And we will also mention a new product aimed at Vonage's business users, that records your Vonage calls. We'll go over a Vonage Forum thread about humming noises over a Vonage connection, and then there's another thread we'll review about faint busy signals and hisses over a Vonage line.. And this is Monday, when we meet our Vonage Forum Member of the Week.
