The first patent — U.S. Pat. No. 8,213,594 — titled "Method and Apparatus for Placing a Long Distance Call Based on a Virtual Phone Number," granted on July 3, 2012, allows consumers to communicate to distant locations without incurring long distance or international calling charges. This is Vonage's third patent related to the use of virtual phone numbers. Vonage's first two patents directed to virtual phone numbers — U.S. Pat. Nos. 7,386,111 and 7,680,262 — were granted on June 10, 2008 and March 16, 2010, respectively. Virtual phone numbers allow people outside a Vonage customer's local calling area to call a Vonage customer for the price of a local call. Vonage customers can choose a virtual phone number in the calling area of a parent, relative or friend or wherever they want to establish a "virtual" presence. (NYSE: VG) today announced that it has adopted a tax benefit preservation plan ("the Plan") intended to preserve the long-term value of Vonage's $795 million in federal net operating loss carryforwards, which represent a substantial asset to the Company and its shareholders.

At the end of 2011, reflecting its sustained profitable operating performance over the past three years and continued expectations for future income, the Company determined that its federal net operating loss carryforwards were more likely than not to be used prior to their expiration. Accordingly, the Company released its valuation allowance against these net operating loss carryforwards, which previously reduced its net deferred tax assets.

Under Section 382 of the Internal Revenue Code, the use of Vonage's net operating loss carryforwards would be limited in the event of an "ownership change", which is defined as a cumulative change of more than 50% during any three year period by stockholders owning 5% or more of Vonage's stock. Certain Company actions, including share repurchases, would also add to the cumulative ownership change under Section 382.

"The tax benefit preservation plan we are implementing is similar to plans adopted by other companies that have valuable tax assets," said Barry Rowan, Chief Financial Officer. "The plan is an important mechanism to protect the value associated with our net operating loss carryforwards."

Under the Plan, the acquisition by any person or group, subject to certain exceptions, of 4.9% or more of the Company's outstanding shares of common stock could result in significant dilution in the ownership and economic interest of such person or group. Accordingly, the Plan is intended to act as a strong deterrent to such acquisitions. As Section 382 of the Internal Revenue Code measures ownership changes by reference to stockholders owning 5% or more of Vonage's stock, the deterrent effect of the Plan helps to guard against such an ownership change under the Code. In addition, under the Plan, the Board of Directors is granted the discretion to exempt persons from the 4.9% threshold if it were to determine that such ownership is in the best interests of stockholders and not inconsistent with the purpose of the plan.

Reflecting the Company's previously stated plans to increase investment in its strategic growth initiatives, Vonage reported adjusted earnings before interest, taxes, depreciation and amortization ("EBITDA")(1) of $32 million, which includes $7 million in growth initiative funding. Adjusted EBITDA is down from $40 million sequentially and $43 million in the year ago quarter. Similarly, income from operations was $21 million, a decrease from $28 million sequentially and $30 million in the year ago quarter. Net income was $19 million or $0.08 per share excluding adjustments(1), a decline from $26 million or $0.11 per share sequentially, and a decline from $23 million or $0.10 per share in the year ago quarter. GAAP net income was $14 million or $0.06 per share, down from $350 million or $1.55 per share sequentially due to a one-time non-cash income tax benefit recognized in the fourth quarter, and down from $21 million or $0.10 per share a year ago. Revenue totaled $216 million, flat sequentially and down from $220 million the prior year.
