HOLMDEL, N.J., Oct. 31, 2012 /PRNewswire/ -- Vonage Holdings Corp. (NYSE: VG), a leading provider of communications services connecting people through cloud-connected devices worldwide, today announced results for the third quarter ended September 30, 2012.
Vonage reported adjusted earnings before interest, taxes, depreciation and amortization ("EBITDA")1 of $34 million, down slightly from $35 million sequentially, and down from $40 million in the year ago quarter, consistent with the Company's previously stated plan to increase investment in strategic growth initiatives by $5-$10 million per quarter in 2012. The Company invested $5 million in growth initiatives in the third quarter and $16 million through the first three quarters of 2012. The Company had income from operations of $23 million compared to a loss from operations of $3 million in the prior quarter due to a one-time, non-cash adjustment of $25 million on the write-down of software assets, and compared to income from operations of $27 million in the year ago quarter.

She will also serve on the Company's Audit Committee.
Ms. Smyth brings a strong financial and accounting background to the Board combined with a seasoned strategic perspective. Prior to her current role as Vice President of Finance at Con Edison, Ms. Smyth held several senior leadership positions at United Technologies Corporation ("UTC") including Corporate Controller and Chief Financial Officer of UTC's Hamilton Sundstrand division. Prior to that, Ms. Smyth was Vice President and Chief Accounting Officer of 3M and a senior partner at two leading global accounting and professional services firms. Vonage reported adjusted earnings before interest, taxes, depreciation and amortization ("Adjusted EBITDA")1 of $35 million, up from $32 million sequentially and down from the record high $44 million in the year ago quarter, reflecting the Company's previously stated plans to increase investment in its strategic growth initiatives.
The Company incurred a loss from operations of $3 million, due to a one-time, non-cash adjustment of $25 million on the write-down of software assets. This loss compares to income from operations of $21 million sequentially and $31 million in the year ago quarter. GAAP net loss was $3 million or $0.01 per share, down from GAAP net income of $14 million or $0.06 per share sequentially and $22 million or $0.10 per share a year ago. Net income excluding adjustments2 was $21 million or $0.09 per share, up from $19 million or $0.08 per share sequentially, and a decline from $26 million or $0.11 per share a year ago.
