Vonage Holdings Corp. (NYSE: VG) is in talks with Sprint Nextel Corp. (NYSE: S) about a way to resolve that carrier's patent lawsuit against the Voip provider, Light Reading has learned. And one source says a Sprint buyout of Vonage is on the table.

My 2 cents:

Vonage and Sprint could enter into an agreement that will allow Vonage to use Sprints patents and give Vonage cash.

In exchange, Sprint gets Vonage’s IP traffic business and a minor ownership in Vonage.

This could develop into marketing synergies and reduce expenses for both companies; but leaving each company independent of the other while giving both companies a Triple play:
Mobile, Vonage Voip, Sprint WiMax...

It is a win/win for both and Wall Street, it plays right along with Citron's long term goals for Vonage and it is consistent with Vonage attorney O’Leary’s comments.

Makes a lot of sense. Presumably, Sprint has cross-licenses with Verizon such that it wouldn't be affected by Verizon's patents. Also, Vonage's stock is so low, and its at least short-term outlook so poor, that Spring wouldn't have to spend that much to get Vonage. And it provides Sprint with a way to counter Verizon's own Voip service. As well as giving Sprint the synergies noted above.

At the very least, I think that many telecom players are worried about what's going to transpire in the future, and this gives a Sprint an "in" in that respect. If Verizon decides to go after other players in the market -- packet8, viatalk, etc (all of whom I imagine also infringe Verizon's patents -- that makes Sprint and Verizon the only Voip games in town.

This is a very wonderful twist to an incredibly grim picture that has been painted over the past 1.5 months. I was really worried that we are all sitting on a sinking ship and were going to have no warning when it was to go down. Even worse we could end up being Verizon customers...no thank you.

With the current patent fights,( I want to know if Vonage knew that they were using protected technology in the first place) I was reading that Vonage was unable to wage a battle, ( this is contrary to what we were told) and could lead to bankruptcy of the company, and the company's liquidation.

The lawsuit with Verizon Communications Inc. seeks to force the company to pay $58 million in damages and 5.5 percent of revenue from phone lines. The company may also lose the use of technology that lets customers make calls to standard phones. This effectively ruins the service for anyone especially those that are business users such as myself.

I do feel terrible about the 1,500 people at its headquarters, that are going to loose their jobs as part of "citrons cost cutting methods" Amazing how the little guys get it... All they will have is their nearly worthless stock, but that could be great for them is Spronage comes into effect.

Since there is a lawsuit scheduled in Sept involving Sprint, and a number of other companies, and the breaking news that " There are NO WORKAROUNDS" ( another false press release) this type of deal would be fantastic.

I am optimistic again!

Vonage addressed its Sprint lawsuit last Thursday in an investor conference call. That call was intended to focus on Vonage's more publicized patent fight with Verizon.

During that call, Vonage's Chief Legal Officer Sharon O'Leary said: "I feel very strongly we'll be able to enter into a business arrangement or agreement to resolve that matter," when addressing a question about Sprint's patent lawsuit, which is set to go to trial in September. Our sources confirm Sprint and Vonage have been in talks about the patent issue, and one source says Vonage is considering selling itself to Sprint.
