In my opinion Vonage is going to go bankrupt and the stock will go to -0-, and this will happen within 12-16 months. But hey, why trust me? Jeff Citron and his banker friends advised you to buy Vonage at $17. I merely got every prediction I made about VG's report right, and told you sell this stock when it was 12+.

Also, I have never been investigated and fined by the SEC for fraud either! Now I know I mention this quite a bit, but I am just astouded anyone would trust their hard-earned money with someone who was BANNED FOR LIFE from the securities industry, where Citron worked since he was 18. If a lawyer that was disbarred for stealing from his clients set up a hedge fund, would you give him money? What is the difference I am missing here?

And it is not just Citron! Current CEO Snyder oversaw Tyco’s ADT Security division at a time when accounting improprieties in that division led Tyco to take a $600 million accounting charge. CFO Rego had been a senior financial officer of Winstar Communications when that company had allegedly engaged in securities fraud, accounting improprieties and false revenue recognition practices, and ultimately filed for bankruptcy

Also lead underwriter Citigroup recently settled a lawsuit for $2.0 billion for its helping Enron's accounting fraud. Underwriter Duetche Bank is being sued in a massive class action where it falsified trading data in order to create fake losses for use in illegal tax shelters.

Between Citron, Snyder, Rego, the underwriters, the spyware, the lack of disclosure, everything about this company smells to high heavens.

Because ordinary people
  1. believe that most CEOs etc. are crooks (Martha Stewart, MCI/Worldcom, Enron)
  2. believe that having people willing to break the law is good for the pocketbook without having to break the law yourself (case in point Citron is pretty well off)
  3. have factored this into their decision before making a decision about purchasing the stock
Therefore either they don't care or it can be a positive factor.

I think he's just being a voice of reason. Sure, he plays the "I told you so" card a lot, but he is right. The restricted period for Vonage employees ends in about 2 weeks, right? When that happens, do you think the stock with rise or fall? My opinion is that as many employees as possible are going to try to take what they can get - anything at all - because they realize that this company is a sinking ship. I hope that most of the common employees (I couldn't care less about the officers) got in at an average strike price of $6 or less. That way, at least they get something for their efforts.

Don't be surprised if the insiders add to their positions. All we've seen from the directors and insiders has been a desire to add to their positions.

Also remember that the current market cap for the entire company is only $1.2 billion. (Over 2MM customers and counting)

There is another reason that non-executive level employees may wish to sell a significant percentage of their stock and it has nothing to do with their opinion of Vonage as a company.

For many employees any stock provided by Vonage may make up a significant portion of their portfolio, since they are also employed by the company it would make complete sense for them to diversify their portfolio by selling a significant portion of their Vonage stock.

Furthermore this diversification can prevent one type of financial catastrophe that happened to employees during the dot com bubble burst. People at that time had tax liability from stock options that was in excess of the value of stock after the crash. It makes sense to protect yourself from the whims of the market if your portfolio is heavy in a single stock, even if you believe in the future of the company.

The last American phone company I worked for went into chapter 11 with $12 billion debts,(I live in th UK and here they would normally go into liquidation, but that does'nt apparently happen in USA) and because they were operationally strong their shareholders managed to invest in them (Not sure how it all works) and pull them out of it.......now they have merged with another UK cable company and are even bigger and greedier (Just like a lot of American/British Companies!)
Needless to say I no longer work for them, I took my redundancy package and ran.......
Maybe Vonage are operationally strong too and will get chapter 11 if the inevitable happens.??
Oh well, I dont have any shares with them and only pay UKŁ7.99/mo for my service, I can always go elsewhere......
