For those trying to say that we should have seen this coming if we read the prospectus.

The final amended prospectus reads
"In connection with the Directed Share Programs, we
have agreed to indemnify the underwriters against certain liabilities, including those that may be caused
by the failure of Directed Share Program participants to pay for and accept delivery of the common
stock which had been allocated to them or were subject to a properly confirmed agreement to
purchase. As a result, our expected net proceeds could be reduced if Directed Share Program
participants fail to pay for and accept delivery of the common stock which had been allocated to them
or were subject to a properly confirmed agreement to purchase and, as a result, we must indemnify the
underwriters for such failure."

It does not say that Vonage will allow DSP members to freely walk away from a commitment without penalty or legal action. It simply says that Vonage will not hold liable the underwriters for shares returned.

If the prospectus stated that DSP members could walk-away without penalty then I wouldn't have a issue.

This is my issue and I think it wrong to allow a group of investors to walk away whole while those that paid for their commitment are stock with a busted stock.

Come on whiners! Grow up!! It’s a contract – you have to honor it or you are a no-gooder and maybe a criminal. You gambled – you lost: pretty simple. If the price had gone up no one would be complaining. Even though it has gone down – you still have to pay – unless your personal promise that you had to exercise, affirm and confirm so many times and in such a clear fashion on the IPO web site is no good.

I got 200 shares – I have lost $900 so far – and it looks like I will lose more. My good name and good credit rating are worth far, far more than $900. How about you?

Anyone who is considering backing out on this deal is at least doing something highly dishonorable – and probably illegal.

I hope that anyone who is silly enough to cancel payment on an already-issued check or who has not stood good on their clear personal, promise to pay the issue price for all shares allocated to them gets a giant permanent black mark on their credit report indicating that they are not trustworthy and that their signature and word are worthless.

Anyone know what Vonage will do for the customers that did pay and sell at a loss? I did understand the risk and I also understood my ethical responsibility to pay, however, it wouldn't be reasonable to offer to waive the obligation of the non-payers only. Otherwise, I am most certain that there will be a class action law suit.

Nobody at Vonage is saying anything and are using the rule of the quite period to hide behind. They could easily go to the SEC and get permission to speak about this issue, heck how where they able to make a statement to CNBC in the first place?

I see only two alternatives for Vonage at the moment.

1) Take legal action against those DSP members who didn't pay their obligation.

2) Rescind the IPO

If they don't take legal action against those who didn't pay because they "don't want to alienate our customers like that" then your going to alienate your true loyal customers who are still holding onto the stock and have paid their obligation. You'll also be alienating those who held the stock and sold but still paid their obligation. Then they would have a even bigger mess on their hands and possible class action. The only way I see a fix to this is option 2.

I think the chances are really low that they rescind the IPO. If they do Vonage is dead. I'd rather alienate the customers that didn't pay over losing the whole ship.

On Wednesday reiterated language in its initial public offering prospectus about paying back underwriters for any unsold IPO shares ordered by its customers. The company said it has "agreed to indemnify the underwriters against certain liabilities, including those that may be caused by the failure of Directed Share Program participants to pay for and accept delivery of the common stock which had been allocated to them."

So Vonage will back the underwriters for the losers who decided they were just 'pretending' to buy Vonage stock at the pre-IPO price. I have a relative who works for the Texas Attorney General's office. He's spoken to several of his superiors on this topic. All of them agreed that if Vonage were to come to them to assist in prosecuting any individual who refused to honor their committment to purchase their allocated shares, they'd take the case in a heartbeat. Vonage may be letting the underwriters off the hook, but that doesn't mean they won't sue you welcher's who think you got ripped off because they priced the stock too high. That's not how the game is played. So keep stopping the payment on those checks. That alone is a felony offense. It's called a 'hot check'. The AG office can prosecute you for that, regardless if Vonage lets you off the hook. By the way. As soon as Vonage made this announcement, the stock tanked even more. As of 2:45 CST, it's down another 3% to $12.12. Looks like the real investors are totally PO'ed and are dumping their stock to show their disapproval of Vonage's wimpy attitude in handling this situation.
