What are the merits to sue? The bankers screwed up the deal price and it went down, wah wah. That's the risk in investing. No different than buying a stock on the open market. Someone is setting the price and you either think it is over or under valued.

I am not a legal expert to comment on the DSP underwriter indemification issue. Why should DSP shares be indemnified but not others? But the fact that they laid it out in the prospectus seems fair warning to me.

I just checked my checking account. My check to Smith-Barney sent to my local branch (not the branch in the IPO instructions), has not cleared.

I still have time to put a stop-payment on my check.

My question is, should I call my local Smith-Barney branch who I sent the check to and tell them I'm putting a stop-payment on the check? Otherise, they would probably try redepositing it several times then automatically send me a bounced check $ fine and report this to the credit bureaus and it could affect my credit score.

Did any of you contact Smith-Barney to let them know you are putting a stop-payment on the check?

Just stop payment ASAP. They're not reporting anything. There are 1,000s of customers who did the same thing, myself included, that's why Vonage responded through squawkbox. But once that check cashes good luck getting your money back.

This was suppose to be a way to thank VG customers for their support (and I have been an advocate), but clearly the Company and underwriters sc**wed us by Aggressively pricing the deal (i.e., over-valuing the company) in a very weak market. I'm can accept a 10% margin of error, but a 26% loss suggest the company/venture backers/underwriters were negligent and were clearly selling a raw deal to the public.

This is no way to thank your customers. Now they are compounding my anger by offering to indemnify those that do not pay for their shares and buying back from the underwriters. If they do not treat those that paid already fairly, I will send a mass e-mail to everyone I know and let them know what a great company VG is and how they sc**wed their own customers.

Just ordered a stop-payment online with my bank for the check I wrote to Smith-Barney.

Hope my bank catches it in time.

I called Smith-Barney to just ask anonymously, "I got allotted shares and read in the news that I don't have to pay for them. Is this correct?"

SB: "ahhhhh..... (sigh).... Sir, we really don't know what's going on yet. We're expected to hear the official word in 20 minutes. Can you please do me a favor and just call back in 20 minutes?"

I mailed in my payment to UBS in good faith. If Vonage chooses to pay for those who broke the rules and did not pay their underwriter I'll be pissed as hell. If they do this the right way, they will reimburse losses for either all of their customers who took the IPO bait or none of their customers - not just those who didn't live up to their end of the bargain.

My payment was received yesterday, and I do not plan on stopping payment - living up to the T&Cs that I agreed to when I accepted in digital form the contract on-line from the Vonage IPO web site.

I just called SB and they told me that it doesn't matter if Vonage is paying them back they still will go after me for not paying. Looks like its better to pay for right now so I sent in my check. I knew the chances buying so its my fault and time to pay the piper. I just don't want my credit bashed because I planned on buying a house.

... it would be highly improbable for VG to bail out only those who did not pay up and screw those that did. I suspect VG wants to make-whole all their IPO customers but is restriant by the quiet period which ends 06/19/2006. If they wait until that time it may too late and messy. They will have to make an special announcement (with some kind of special one-off permission from the concerned authorities) to pacify the markets and their IPO customers and I suspect they will.

Solution: It is difficult to see how they will survive, if they rescind the IPO. Without the IPO cash they are pretty much a dead duck 1 year down the line. So IMO, they will probably make some kind of a fair-value announcement and make good (thro' some mechanism) around $4.5 to $5 per share to all initial IPO purchase customers and at the same time let go those who do not want to pay up. This way the proceeds of $530M may be reduced by approx $155M to around $375M. This along with existing cash should last them another 6-7 quarters by which time they will hope to be profitable.
