Dear Vonage Investor:
We are writing to address some of your concerns and address some misperceptions about Vonage and our intial public offering (IPO). While we share your disappointment in the first few days of trading, we at Vonage are taking a long-term view. Some key points:
· The offering was oversubscribed at the IPO price of $17 per share.
· Our Directed Share Program (DSP) is intended to reward customers who have been loyal to Vonage. As we move forward as a public company, our goal is to create value and reward Vonage stockholders. Please remember that this is only our third day of trading.
· Contrary to rumors, our management has not sold its Vonage stock. Indeed, the opposite is true as some of us have increased our positions in connection with the IPO.
· Vonage has lots of competition and others who would like to see us fail. We are confident and undeterred. We are a leading and growing provider of broadband telephone services with over 1.6 million subscriber lines as of April 1, 2006. In the first quarter of 2006, we added over 328,000 subscriber lines. Simply put, many customers like Vonage.

Did anyone else receive this letter from IR? Seems like they would need to disseminate it to everyone and I haven't seen anything on their site or with the SEC. |

It was in reply to a complaint I sent to IR about the mispricing of the IPO not a blanket e-mail to everyone |

I also received the exact same response. Seems to be send them the standard "Bed Bug Letter" |
