Post subject: Vonage IPO
You have reached the website regarding the proposed initial public offering of
Vonage
Holdings Corp. common stock, including a proposed directed share program for certain
Vonage
customers. Both the proposed initial public offering and the directed share program are described in the registration statement of
Vonage
Holdings Corp. filed with the Securities and Exchange Commission on February 8, 2006, a copy of which can be found on the Securities and Exchange Commission’s website at sec.gov
As indicated in the registration statement, we intend that
Vonage
customers will be eligible to participate if:
they opened accounts with us on or prior to December 15, 2005, and
maintained their accounts in good standing through February 1, 2006, and
are a U.S. citizen, and
reside in the U.S. when the offering closes, and
have a valid social security number.
Customers do not need to continue to be
Vonage
account holders in order to participate in the directed share program.
A registration statement relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective.
No other information is available at this time. We do not anticipate that new information will be available at this site for several months.
Vonage
employees and the employees of the underwriters or their affiliates have no additional information about this program and are not permitted to discuss it. Therefore, you should not call
Vonage
or the underwriters or their affiliates about the initial public offering or the directed share program.

hm, i just made it, i created my acct on Dec 15, 2005. Now I gotta figure out if it's a good idea to jump on this IPO. Last one I wasn't allowed to get involved in (talk to my wife...) has done pretty good (GOOG).

I find the following paragraph interesting. Smells an awful lot like the next Tivo.
Vonage
is to
VoIP
, what Tivo is to DVR and both are struggling to make it, while others capitalize on their investments.
"We are pursuing growth, rather than profitability, in the near term to capitalize on the current expansion of the broadband and
VoIP
markets and enhance the future value of our company," the company said in the SEC prospectus. "This strategy, however, may not be successful, and we may never achieve profitability."

Yes, the risk statements of the handful of IPOs that I've read all stated that the world may come to an end and a pox could fall upon all who participate - it's a CYA from class action law suits...

Well, I can think of two thngs: First,
Vonage
's expenditures on marketing. Second, some of their service expenditures: 'strategic outsourcing', for one....all I can say is that between 25-33% of my calls involve some mention as to how difficult it was getting service from the 'outsourced' locations. Prolly another 10% involve
Vonage
's apparent huge TV/Internet/etc presence without an equally perceived presence in supporting existing customers. Not too sure about this IPO...

I'm going to look into it but I'm sure there are going to be heft hold times for anyone allowed in on the IPO. I'm not sure this would be a good long term hold as the competition is certainly heating up in the market.
One good thing that could come out of this is a buyout, if there was an interested company that wanted to pay the price. Depending on how the stock does of course.
