<p>The Company reported net income of <span class="xn-money"><money>$24 million</money></span> or <span class="xn-money"><money>$0.11</money></span> per share excluding adjustments.(1)  This is up from <span class="xn-money"><money>$8 million</money></span> or <span class="xn-money"><money>$0.04</money></span> per share in the year ago quarter. Including a one-time adjustment of <span class="xn-money"><money>$8 million</money></span> related to the Company's refinancing, GAAP net income was <span class="xn-money"><money>$16 million</money></span> or <span class="xn-money"><money>$0.07</money></span> per share.  This is up from a net loss of <span class="xn-money"><money>$55 million</money></span> or <span class="xn-money"><money>$0.26</money></span> per share in the year ago quarter, which included <span class="xn-money"><money>$60 million</money></span> in one-time charges associated 
with the Company's 2010 debt refinancing.  </p>

<p><org value="NYSE:VG" idsrc="xmltag.org">Vonage</org> reported adjusted earnings before interest, taxes, depreciation and amortization ("EBITDA")(2) of <span class="xn-money"><money>$40 million</money></span>, up from <span class="xn-money"><money>$35 million</money></span> in the year ago quarter and down from <span class="xn-money"><money>$44 million</money></span> sequentially.  Revenue totaled <span class="xn-money"><money>$217 million</money></span>, an increase from <span class="xn-money"><money>$214 million</money></span> the prior year and down from <span class="xn-money"><money>$218 million</money></span> sequentially. Income from operations was <span class="xn-money"><money>$27 million</money></span>, an increase from <span class="xn-money"><money>$20 million</money></span> in the year ago quarter and down from <span class="xn-money"><money>$31 million</money></span>

As a result, Standard & Poor's today announced the withdrawal of its rating on <org value="NYSE:VG" idsrc="xmltag.org">Vonage</org>.  This follows the rating withdrawal by Moody's on <span class="xn-chron"><chron>August 5, 2011</chron></span>.  The discontinuance in ratings does not reflect a review by Standard & Poor's or Moody's of <org

<p>The most recent refinancing was the result of consistently strong financial results and is the second successful refinancing in the last eight months. On <span class="xn-chron"><chron>July 29, 2011</chron></span>, the Company completed the refinancing of its term loan, entering into a <span class="xn-money"><money>$120 million</money></span> credit facility including an <span class="xn-money"><money>$85 million</money></span>, three-year loan and a <span class="xn-money"><money>$35 million</money></span> revolver bearing interest at <org value="ACORN:1141758967" idsrc="xmltag.org">LIBOR</org> plus 3.5%.  This debt replaces the prior facility which carried an interest of <org value="ACORN:1141758967" idsrc="xmltag.org">LIBOR</org> plus 8% with a 1.75% <org value="ACORN:1141758967" idsrc="xmltag.org">LIBOR</org> floor.  This new facility provided by a group of commercial banks led by JP
