Welcome to today's edition of the Vonage Voip Forum Digest. 

First we'll catch up on some big Vonage news- the third quarter earnings report, as well as welcome news about a patent infringement settlement in the works with AT&T. Following that, we'll go to two Vonage Forum threads, one about selective call-blocking, and the other thread happens to be about a balky adapter. We'll also check in on Vonage's stock price, and how that has been affected by the news from Vonage today.



In The News

Vonage Announces Quarterly Results, Settlement on Way With AT&T

Vonage today announced results for the quarter ended September 30, 2007.

Revenue for the third quarter 2007 grew to a record $211 million, a 30% increase from $162 million in the third quarter 2006, driven by customer line growth and an increase in average revenue per line.

Adjusted loss from operations excluding certain charges(1) narrowed to $1 million, a 98% improvement from $53 million in the third quarter 2006 and an improvement from $3 million sequentially. The Company expects to generate positive adjusted operating income for 2008.

Net loss excluding certain charges(2) narrowed to $16 million, or $0.10 per share, from $62 million or $0.40 per share reported in the third quarter 2006. Including these charges, third quarter 2007 GAAP net loss was $162 million.

Jeffrey Citron, Vonage Chairman, said, "We are executing against our strategy to fix the fundamentals of our business. We are acquiring customers more effectively and running the business at an improved cost structure. While this has resulted in positive changes in our business, we have much more to do. Our primary focus today is to improve the customer experience to reduce churn. While this will take time, we believe the Company has the appropriate plan in place to improve customer satisfaction and build loyalty."

Vonage added 78,000 net subscriber lines during the quarter, up 37% from 57,000 in the second quarter 2007, and finished with more than 2.5 million lines in service.

Third Quarter 2007 Financial and Operating Highlights

Third quarter 2007 revenue grew to $211 million, up 30% from $162 million in the year-ago quarter. The year-over-year increase was driven by growth in subscriber lines and an increase in average monthly revenue per line.

Average monthly revenue per line in the third quarter 2007 was $28.24, a 2% increase from $27.59 in the year-ago quarter and down from $28.38 reported in the second quarter 2007. Average monthly telephony services revenue per line for the quarter grew to $27.32, up 3% from $26.52 in the year-ago quarter.

In the third quarter 2007, direct cost of telephony services was $55 million, up from $41 million a year ago, and $52 million in the second quarter 2007. On a per line basis, average direct cost of telephony services was $7.30, up from $7.06 in the third quarter 2006 and $7.21 sequentially.

Direct cost of goods sold for the quarter was $17 million, in line with the year ago quarter and up from $11 million in the prior quarter. The sequential increase was driven by higher gross additions. Direct margin(3) increased to 66% of revenues from 64% in the year-ago quarter.

Selling, general and administrative ("SG&A") expense excluding certain charges(4) was $84 million, up from $72 million in the year ago quarter, and flat sequentially.

Marketing expense for the quarter was $62 million, or 29% of revenue, down from $91 million, or 56% a year ago. Marketing expense fell 9% from $68 million in the second quarter 2007. Marketing cost per gross subscriber line addition ("SLAC") was $206 in the third quarter 2007, the lowest cost of acquisition in two and a half years. The Company expects fourth quarter 2007 SLAC to increase slightly due to seasonal factors, but fall within the $225- $250 range. Additionally, the Company expects its marketing spending to increase slightly from the third quarter.

Pre-marketing operating income excluding certain charges(1) was $71 million, up from $50 million in the year ago quarter and flat sequentially.

Average monthly customer churn was 3.0% in the third quarter 2007. This is an increase from 2.5% in the prior quarter, which would have been 2.7% absent the extension of the customer grace period.

Current cash, marketable securities and current restricted cash at quarter end was $356 million, up $12 million from last quarter. This includes $78 million of current restricted cash used as collateral for the Verizon bond and first escrow payment. The change in cash from the prior quarter was driven by cash provided by operations of $22 million and capital expenditures of $10 million.

The Company's cash requirements in the fourth quarter increased due to the release of $78 million of restricted cash to Verizon, an additional $2 million to Verizon, $40 million placed into escrow and reported as current restricted cash until the Verizon appeal is decided, $80 million to Sprint and $2 million in other IP litigation settlements.

Based on these actions, cash has been reduced from $356 million to $194 million, which is comprised of $154 million in free cash and $40 million in restricted cash.

AT&T

The Company reached an agreement in principle with AT&T to settle the IP litigation suit which was filed on October 17, 2007. Specifically, AT&T filed suit against Vonage in the District Court, Western District of Wisconsin, concerning Patent No. 6,487,200 (the "Fraser Patent"), entitled "Packet Telephone System."

The parties will work diligently to finalize the specific terms of the settlement agreement. The general terms being discussed by the parties would require Vonage to pay $39 million over five years. AT&T would agree to dismiss the lawsuit against Vonage, and Vonage would agree to dismiss a case against AT&T which is also outstanding. If negotiations of a definitive settlement agreement fail, then Vonage intends to vigorously defend itself in this matter.

On The Vonage Voip Forum

Vonage Forum Member rebus joins many of our other Members in wanting Vonage to implement selective call-blocking. That means the ability to block calls to your Vonage from some numbers, but not others.

Because rebus wants to know the latest with this hoped-for feature, he has begun a Vonage Forum thread with the name of, Any Rumors Yet on Call Blocking Feature?

Rebus writes:

"I know this is a tired subject, but it can't hurt to bump the topic and ask again.

I know we have anonymous call blocking now, but are there any rumors-- or are any Vonage techs lurking who know the answer-- on when we might get (specific-number) call blocking?

I could really use this feature right now, and there are several other Voip providers who already offer it. Considering all the features Vonage already has, surely this cannot be a difficult feature to add. (can it?)"

Two of the most resourceful replies in this thread are from Vonage Forum Members kamnet and EzCo.

Here's what kamnet advises rebus on this issue:

"You may have luck with tech support blocking these numbers on a case-by-case basis.

"Two weeks ago I had a fax machine that started calling my line during the day. I work late nights and I'm asleep during the day, this was cutting into my sleep! I called customer service, they read through their scripts on how to set up anonymous call rejection, I had to cut them off three times and tell them that I already had ACR set up, this number was not anonymous, but it had to be blocked. They passed me on to tech support, who told me they would take care of it, and call me back in 30 minutes to see if the problem was resolved.

"Well, they never called me back at all, but the calls did stop. So I don't know if they blocked the number or if the owner of the fax machine realized he was sending his faxes to the wrong number, but who knows."

And then EZCo offers this advice:

"If you're getting annoying calls in the middle of the night, you could use DND (do not disturb). It's *78 to enable DND and *79 to disable it. Calls will go directly to VM (Voice Mail) if you have VM enabled," EZCo writes. "Otherwise the caller gets a message that you're not taking calls at this time."

Flashing Phone Light Motorola M2442 - Intermittent is a new Vonage Forum thread that has been established by Vonage Forum Member duffy50.

To start this thread, duffy50 explains his problem in this post:

"I have been a long term Vonage customer and have run into a problem. I have a Motorola M2442 adapter on the line.

Cable Modem>Cisco Router>Motorola M2442 >Cisco Switch >Wireless Access Point 1> Wireless Access Point 2.

Problem I am having is that the Phone Line Light decides to randomly start flashing ( Even when all lines are "On Hook).
And take all my phones down - randomly!

Wiring is good, no voltage of any kind, no RF interference (scope),
Line from NID disconnected taped and labeled.

Telephone are modern Nortels with electronic ringers. The wiring, is existing Cat 3 and impossible to change to Cat 5/6 and the house is large 4,000 or so feet. Everything is punched down to 110 Blocks and there are no splices.

No problem with this until the Motorola 2442 adapter.

Any body have an idea or experience with this problem ???? "

Input is soon on the way from our most frequent poster, Steve48.

"Is it the Motorola VT2442??," Steve48 asks.

"You've done a good job troubleshooting and assuring that the land lines are disconnected," Steve48 tells duffy50. "Nevertheless, I'd start by disconnecting from the house wiring. Plug a phone directly into the 2442 and run it for awhile. Verify that the same problem does or does not occur.

"If I understand you, when the problem does occur, the telephone goes out. How about internet access through the 2442? Is that still good, or does it go out as well?," Steve48 asks duffy50.

"I think it is the Motorola terminal adapter - seeing some type of resistance/capitance on the line - Ohm it and don't see anything," duffy50 replies. "Have had other Vonage adapters and never had this problem before.

"When I plug a wireless phone into the TA's jack it always works," adds duffy50. "Was wondering if some line conditioner like the Viking would work as the TA would only see 1/2 of a bell as resistance-inductance on the line."

"However don't really want to spend $150.00 - phones worked fine for years in analog configuration," duffy50 adds in closing.

"You may be right, but let's troubleshoot methodically," advises Steve48 in his follow-up post. "If I've got it right, it always works with a single phone plugged directly into the 2442. The problem only occurs using house wiring. Right?

"Continue by disconnecting all of your telephones from the house wiring," Steve48 suggests to duffy50. "Plug the 2442 into the house wiring, and plug just the one wireless phone into another jack. Does the problem occur now?

"For what it's worth, my own Motorola VT2442 has been working fine with house wiring," Steve48 points out. "No issues. A line conditioner shouldn't be required."

Vonage Stock Report

Today on the New York Stock Exchange, Vonage stock was affected by the third quarter earnings statement, as well as news of an apparent patent infringement settlement with AT&T. Vonage stock closed at $2.49 a share, a big rise of 30 cents (+13.70%) from Wednesday's closing price of $2.19  a share  but then again today's closing price was a full 24 cents more than today's lowest price for Vonage stock and that was $2.25 a share. Total trading volume today showed as climbing up to 5,004,992 shares.
