Vonage Holdings Corp. plans to announce that it has raised an additional $250 million in private funding from previous and new investors, bringing the total raised by the closely held start-up to $658 million.

The convertible-debt issue, set to be unveiled Monday, is likely to be Vonage's final round of private financing before the Internet-based phone company files for an initial public offering, according to people familiar with its plans.

The Holmdel, N.J., company has more than one million customers and is the U.S.'s largest provider of phone service that uses a regular telephone to send calls via Internet. In recent months, Vonage has been exploring an IPO and a sale, according to people familiar with its plans. It is most actively pursuing the IPO option, but remains open to the possibility of selling, these people said.

Internet-based calling is a fast-growing threat to traditional phone companies because it is less expensive than conventional service and often includes features that aren't available with traditional service, like letting the customer choose any area code. It works by breaking voices into bits of digital data that travel over the Internet and are reassembled into sounds on the receiving end.

Internet calling, while growing in popularity in the U.S., has met with considerable hurdles: The quality of phone calls isn't always as strong as that of land-line calls and the ability to make phone calls relies on a user's Internet connection -- if the Internet connection goes down, so does the Internet phone connection. Vonage charges $24.99 a month for unlimited local and long-distance calling in the U.S. and Canada, and includes a full set of features like voice mail and caller ID.

"This latest round of funding really validates what we're doing," said Chairman and Chief Executive Jeffrey Citron in an interview. He said the company initially sought $155 million, but interest from investors was strong enough to warrant increasing the amount. Mr. Citron declined to comment on the possibility of an IPO.

The five-year convertible notes can be converted into stock if the company goes public and will be used to complete Vonage's expansion and to extend its ability to offer full-service 911 emergency calling to all its customers.

The investors include venture-capital firms that already have invested $408 million in Vonage and new investors, including hedge funds, whose identities Mr. Citron declined to disclose.

Terms of the five-year notes won't be disclosed, but the arrangement assigns the company a total value of more than $2 billion, people familiar with the deal said.

That is the price range Vonage was seeking in talks with several potential suitors, including Sprint Nextel Corp. Price was a stumbling block for several potential buyers that held exploratory discussions with Vonage in recent months, people familiar with the situation said.

Vonage is one of the biggest advertisers on the Internet and has grown rapidly since it first began offering service in 2002. But it, too, faces mounting threats, from companies like Skype Technologies SA that provide free computer-to-computer calling and from large phone and cable companies that are rushing to offer their own versions of Internet calling.

Vonage's existing venture investors include Bain Capital, 3i Group PLC, Meritech Capital Partners, Institutional Venture Partners and New Enterprise Associates. IPO underwriters include Citigroup Inc., UBS AG and Deutsche Bank AG, which helped arrange this funding round.
