EDISON, N.J. -- Vonage Holdings Corp. said Thursday it has raised $200 million in a late-stage round of venture capital, a gutsy investment that gives the company some serious ammo in its bid to lead the market for voice-over-Internet telephone services.

The Series E round, the largest venture capital investment this year, makes Vonage one of the most heavily venture-backed companies around. Edison, N.J.-based Vonage has now raised more than $400 million in funding, and the latest capital infusion comes just nine months after the company raised $105 million in its Series D round, led by Menlo Park, Calif.-based firm New Enterprise Associates.

This time Boston venture capital firm Bain Capital Inc. joined Vonage 's group of investors, leading the round from its $250 million venture capital fund. Existing investors New Enterprise Associates, 3i Corp., Meritech Capital Partners and Institutional Venture Partners also participated.

The round will help the pure-play Voip provider further expand in the U.S. After launching in Canada last spring and the U.K. just three months ago, Vonage is making Asia Pacific its next target. While Vonage has established itself as one of the largest players in the market, it faces stiff competition from both big carriers and cable operators hoping to stake their own claims. With more than 600,000 subscriber lines, the private company is gaining 15,000 subscribers per week, claiming it will have more than 1 million by the end of the year.

Cable operator Cablevision Inc. (CVC) said Thursday its Optimum Voice phone service has 400,000 customers and is adding more than 7,000 a week. And Time Warner Inc. (TWX) reported earlier this week that it had 372,000 customers at the end of its first quarter and is hoping to hit 500,000 soon. Cable giants Comcast Corp. (CMCSA, CMCSK) and Cox Communications also have flourishing Internet phone businesses, but Vonage is making a strong case as a private company.

"(Vonage ) seems to have the leadership in the market," said William Stofega, research manager of Voip services for IDC. "Keeping the leadership in terms of marketing costs is expensive; they have to figure out how to differentiate themselves."

Stofega thought Vonage would have filed an initial public offering already. "You would hear so many rumors that this is a perfect candidate, a market leader. In the era there were lots of companies with much fewer customers going public."

Jon Arnold, principal of analyst firm J Arnold & Associates, said in order to compete with large cable operators that have huge resources, Vonage will need cash to stay on the offensive. "Customer acquisition costs are high, and profits aren't the game plan any time soon. It's hard to imagine how any carriers are making money with VOIP."

The company will probably also use the money to differentiate, to be more than just a pure play service provider, Arnold noted. Vonage will enter the mobility market. It has formed partnerships with UTStarcom Inc. (UTSI) for WiFi handsets, which are set to come out later this year, and with Viseon for video phones, also scheduled to debut this year.

Vonage , which was formed in January 2001, confirmed the new round but was mum on further details. The company's investors weren't immediately available for comment.
Before this round, the largest venture capital round of the year went to anti-spyware company Webroot Software Inc., which raised $108 million in February.
