Investors in Internet telephony startup Vonage Holdings Corp. doubled down on their private equity stake in the company, sinking $105 million into the year's largest venture capital deal to date, bringing total investment to $208 million.

New Enterprise Associates led the Series D round to help the independent company maintain a commanding lead in voice-over-Internet-protocol, or VoIP, services. The massive funding round from the startup's existing investors comes even as traditional telephone and wireless service carriers such as Bedminster, N.J.-based AT&T Corp., New York-based Verizon Communications Inc., Qwest Communications International Inc.of Denver and San Antonio-based SBC Communications Inc. enter the fast-growing field.

Edison, N.J.-based Vonage raised the round from Baltimore-based NEA, London-listed 3i Group plc's Palo Alto, Calif., office and Menlo Park, Calif.-based Meritech Capital Partners just six months after closing a $40 million third round that was expected to be the company's final private fundraising. The startup and its financial backers insist they didn't need to raise the cash but did so to accelerate expansion of services that allow consumers to bypass incumbent analog voice communications lines to take advantage of overbuilt digital infrastructure.

"When we closed the last round we did not think we would need to raise additional money, and we don't," said Vonage CEO Jeffrey Citron. "We still have a lot of money in the bank, but are being opportunistic because we have the ability to absorb the capital and accelerate growth."

The deal brings the total amount of venture capital Vonage has raised in the last year to $180 million as the company builds out a network in the U.S. and expands to the U.K., Canada and the Pacific Rim. Citron said the new money will allow it once again to speed up network development, and to expand customer acquisition programs through relationships with retailers such as Framingham, Mass.-based Staples Inc. and another partner to be announced next week.

Citron said with faster growth than expected both internally and in the total market for Internet telephony, Vonage decided just months after closing its C round to raise a $100 million round with late-stage investors. Sandy Miller, a managing director with 3i, said the board never considered taking the company public at this stage, but recognized an opportunity to raise a large amount of late-stage capital to position the company for a public offering next year.

Prem Parameswean of Deutsche Bank AGworked with Vonage to put together a private placement memorandum, or PPM, and sent preliminary feelers out to potential new investors. But then the startup's existing investors decided to scuttle the effort.

"Our board and investors agreed in June to engage Deutsche Bank for a PPM," Citron said. "We were about to send out the PPMs when NEA came to us and asked if we would be interested in looking at a pre-emptive term sheet."

Citron would not disclose a valuation on the new investment, but he said it was up significantly from the previous round and was attractive enough for management to forgo looking for new investors. Deutsche Bank assisted in closing the new investment. Robinson Markel of New York law firm Katten Muchin Zavis Rosenman represented the company.

At $105 million, Vonage's round is one of only three deals over $70 million this year. Hong Kong-based Ali raised $82 million in February, and Force 10 Networks Inc. of Milpitas, Calif., raised $74.9 million in a deal closed in June.

Joe Noel, a securities analyst specializing in telecommunications with Pacific Growth Equities in San Francisco, said the size of the round is testimony to the growing interest in IP telephony and Vonage's early lead in the sector. "This shows that the traditional phone companies had better watch their backs," Noel said.

"Vonage is strong because they can go over a number of platforms, including cable television," he added. "And they have a good jump in building out their network."

But Noel added that traditional phone companies have recognized the promise of IP telephony and rather than let startups cannibalize existing business, have started their own initiatives. AT&T announced Tuesday, Aug. 24, that it is expanding its Callvantage IP Telephony initiative to 200 cities; Qwest and SBC Corp. also have IP telephony offerings.

"The regional Bell operating companies know if they fight this technology they are going to lose," Noel said. "So they have decided they would rather eat their young than ignore it."
