The company has repeatedly had to go to capital markets in order to raise money to fund its massive operating losses. The private offerings before the IPO raised a total of $409.7 million. These shares were sold for, on average, $3.29 per share. (all figures come from the Vonage prospectus

This means that the average pre-IPO investor could sell his shares now at 7.40 and more than double his money. And some of you guys here think $7.40 are cheap! It is not cheap if people were buying for under 3 last year. Cheap was $1.50 a share, average was $3.29, and pricey is about $5 a share. $7 is insanely high, just like $17 was at the IPO.

The IPO, after expenses, supposedly was going to raise $490 million. My guess is that non-paying customers will cut that down to more like $470. On March 31st, before the IPO, Vonage was $61 million in the hole, that is its assets were 61 million below its liabilities.

Citibank, which was a Vonage underwriter and had good access to its books, estimates that Vonage burned $120 million in cash in the second quarter (now over).

So where are we now? Take the $490 from the IPO (a generous estimate), subtract the pre-IPO $61 million, and the $120 burned in the second quarter, and we are down to having only $309 million left for Vonage to work with. That won't last long, at current spending, which Citron has indicated he has no intention of cutting the advertising budget that is bleeding the company dry. Indeed, he probably can't, it would be a sign of failure and of giving up.

So they are stuck in a death spiral. After the failed IPO, Vonage is unlikely to be able to attract any additional investors. Nobody is buying at the public price of $7.40, and Citron isn't allowed to sell at the insiders' price of $3 anymore.

So the price of the stock falling feeds on itself, which is why I use the phrase "death spiral." Each time the stock price falls, that means less money for the company in future follow-up offerings. Which is itself bad news that causes Vonage to fall further.

But hey, why listen to me? I've only been right about this stock from the beginning, and been so sure of myself that I've invested a large portion of my net worth shorting it, profiting handsomely.
