I have also been inundated with v-mails, e-mails, and snail mails regarding this IPO. Initially I was very excited and intrigued at the prospects... however, similar to how the IPO will play out...the excitement turns to realism when you really look at the numbers.

Before I get started - I love Vonage. I've moved my entire sales team (distributed around the country) to Vonage as a second line because its easy, convenient, etc... we even download the softphone and use it from our India, brazil, and other offices - - revolutionary. However,

1. I loved the red-hat analogy and post - lots of research there - great work. One of the things not discussed however is, this is not the red-hat days! Companies, regardless of sector need to perform to justify stock price. Burger King will be a hot IPO because its one of the few "performing" companies currently not public. So, an IPO (usually means small shares outstanding against a revenue and profit number = valuation of the company).

2. 0 profit divided by # of shares outstanding = 0$. So, the folks that do buy Vonage are 1. blinded by the "big-time feel" of the company (advertising, market penetration, user testaments) or 2. have a legitimate feeling that the future of the company justifies the valuation (

3. Be nervous about timing your ins and outs on the trading day... big houses, day-traders, etc...have all kinds of fancy tools to help them do this. They way Vonage has set this up... I think it would be tough for you as an individual investor to quickly turn this without the help of a professional (I could be wrong - just subjecture at this point)

4. For my money - at $18 and 0 profit for the foreseeable future there are better places to put you money (in a hot market by the way) then hoping that in 2-3 years your $1800 will pay out.

5. So, the rational investor (or home player) looks at this as a long term investment. The question I would raise relative to a 2-3 year horizon however is - similar to how Vonage has come in and replaced an older technology thus shifting the business paradigm - - at the acceleration we are seeing... of technology shifts - how long before Vonage is also overtaken by technology shifts.

6. The challengers - unlike the days of old when the barriers to entry were so great (copper wires laid in the ground and reaching to all nooks and crannies of the country) - challengers can jump in at the drop of a hat and compete with the existing base via new technologies that shift the paradigm. Wonderful books on this subject like Crossing the chasm (geoffrey moore), Innovators dilemma (clayton christensen), etc... The problem is, the challengers to Vonage are already there - even before Vonage has made a dime. who? you might ask... check out the subscription base for skype (incredible). What about google-talk, Yahoo messenger, MSN, AOL, etc... are they the reliability and capabiliites of Vonage?, but they will quickly get there.

7. Paradigm shifts in technology are things very agressive people like to invest in. But, at the end of the day..they see 3-4 years ahead of the lay person who lets their emotions and personal world (vonage phone on my desk) get in the way of vision and market dynamics. What happens when google goes to every major city and puts in "google funded" Wifi projects as they did in San Francisco? People walking around on wifi cell phones, talking for free, logging into a free net and using free technologies like skype, etc... at the end of the day...Vonage is just plumbing with some decent value add features (v-mail, find-me services, etc). unless they drop their price or move into a value play - they are no better than the old AT&T.
